Terms of Service

Please read these terms carefully before using the AdmicoHub platform. By accessing or using our services you agree to be bound by this agreement.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "Company") and WebconstructGlobal (Pty) Ltd, registration number 2022/XXXXXX/07, a private company duly incorporated under the laws of the Republic of South Africa ("AdmicoHub", "we", "us", or "our"), governing your access to and use of the AdmicoHub platform and all related services (collectively, the "Service").

By clicking "Get Started", completing the registration process, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

This agreement is entered into in accordance with the Electronic Communications and Transactions Act 25 of 2002 (ECTA) and constitutes a valid and binding data message as contemplated therein. If you do not agree to these Terms you must immediately cease all use of the Service.

Description of Service

AdmicoHub is a cloud-based business management Software-as-a-Service (SaaS) platform designed for South African businesses. The Service provides an integrated suite of tools including, but not limited to:

  • Invoicing, quoting, and accounts-receivable management
  • Expense capture, supplier bills, and accounts-payable management
  • Bank statement import, reconciliation, and transaction categorisation
  • Automated tax reserve calculations for VAT, IRP6, PAYE, UIF, and SDL
  • Project management, progress-claim certificates, and subcontractor tracking
  • Compliance monitoring for CIDB grading, NHBRC enrolment, and statutory certificates
  • Document storage, investor-pack generation, and audit-ready reporting

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable prior notice to subscribers, except where necessary for urgent security or legal compliance reasons.

User Accounts & Company Registration

To access the Service you must create an account and register your company. You agree to provide accurate, current, and complete information during registration, including a valid company name, registered business address, and contact details. You must promptly update your account information if it changes.

One account per legal entity. Each South African-registered company (whether a private company, sole proprietor, partnership, trust, or other entity) may maintain one active primary subscription account. The account owner is responsible for all activity that occurs under the account and must ensure all authorised users comply with these Terms.

You are solely responsible for maintaining the confidentiality of your login credentials and for all actions taken under your account. You must notify us immediately at hello@admicohub.com if you suspect any unauthorised use of your account. We will not be liable for any loss resulting from unauthorised access to your account where you have failed to safeguard your credentials.

Accounts that have been inactive for more than 24 consecutive months may be archived or deactivated at our discretion, with 30 days written notice to the registered email address.

Subscription Plans & Billing

Free Trial. New customers receive a 14-day free trial with full access to the selected subscription tier. No credit card is required to begin the trial. At the end of the trial period, continued access requires activation of a paid subscription.

Pricing and Currency. All subscription fees are quoted and invoiced in South African Rand (ZAR) and are exclusive of Value-Added Tax (VAT) at the prevailing rate as prescribed by the South African Revenue Service (SARS). VAT will be added to all invoices issued to customers registered in the Republic of South Africa.

Payment Processing. All payments are processed securely through Payfast (Pty) Ltd, a South African payment gateway. By subscribing you authorise Payfast to charge your nominated payment method on a recurring monthly or annual basis. We do not store your full card details on our servers.

Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled. We will send a renewal reminder to your registered email address at least 7 days before the renewal date.

Cancellation and Refunds. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current paid billing period. We do not provide pro-rata refunds for unused portions of a subscription period, except where required by the Consumer Protection Act 68 of 2008 (CPA).

Price Changes. We reserve the right to adjust subscription pricing with 30 days written notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

Acceptable Use

You agree to use the Service only for lawful business purposes and in accordance with these Terms. The following conduct is strictly prohibited:

  • Using the Service to commit, facilitate, or conceal any fraudulent, unlawful, or criminal activity under South African law
  • Submitting false, misleading, or fabricated financial data, company registration information, or CIPC records
  • Using the platform to deliberately misrepresent your tax obligations, evade SARS obligations, or contravene the Income Tax Act 58 of 1962 or the Value-Added Tax Act 89 of 1991
  • Attempting to circumvent, disable, or interfere with the security features, access controls, or integrity of the platform
  • Reverse-engineering, decompiling, or attempting to extract the source code of the Service
  • Uploading or transmitting malicious code, viruses, or any software intended to disrupt or damage the Service
  • Using automated scripts, bots, or scrapers to access the Service beyond the scope of authorised API usage
  • Exceeding fair use thresholds that place disproportionate load on shared infrastructure

We reserve the right to suspend or terminate accounts that violate this section, without prior notice where the violation poses a security or legal risk, and to report such activity to relevant South African authorities where required by law.

Intellectual Property

Platform Ownership. The AdmicoHub platform, including its source code, design, user interface, algorithms, trade marks, logos, and all associated documentation, is the exclusive intellectual property of WebconstructGlobal (Pty) Ltd and is protected under the Copyright Act 98 of 1978, trade mark law, and all applicable South African and international intellectual property legislation. Nothing in these Terms transfers any ownership rights to you.

Licence to Use. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during the term of your subscription, subject to these Terms.

Your Data. You retain full ownership of all business data, financial records, documents, and content that you upload to or generate within the Service ("Customer Data"). You grant us a limited licence to host, process, and display your Customer Data solely to the extent necessary to provide the Service to you. We do not claim any ownership over your Customer Data.

Feedback. If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us a royalty-free, perpetual, irrevocable licence to use such feedback for any purpose without obligation to you.

Data & Privacy

The collection, use, storage, and processing of personal information by AdmicoHub is governed by the Protection of Personal Information Act 4 of 2013 (POPIA). Our full data practices are set out in our Privacy Policy, which forms part of these Terms and is incorporated by reference.

By using the Service, you acknowledge that we may collect and process personal information as described in the Privacy Policy for the purposes of delivering the Service, administering your account, processing payments, and fulfilling our legal obligations. We act as the Responsible Party in respect of personal information we process on our own behalf, and as an Operator in respect of personal information you submit as Customer Data.

You represent and warrant that you have obtained all necessary consents and authorities required under POPIA to submit any personal information of third parties (including your clients, employees, and suppliers) into the platform, and that you maintain an appropriate POPIA-compliant privacy notice for your own data subjects.

Service Availability

We strive to provide a high-availability Service and target a monthly uptime of 99.5%, excluding scheduled maintenance windows and circumstances beyond our reasonable control. However, we do not guarantee uninterrupted or error-free access to the Service.

Scheduled Maintenance. We will endeavour to perform scheduled maintenance outside of standard South African business hours (08:00–18:00 SAST, Monday to Friday) and will provide at least 24 hours advance notice for material maintenance events via in-app notification or email.

Force Majeure. We shall not be liable for any interruption to the Service caused by circumstances beyond our reasonable control, including load-shedding and Eskom supply interruptions, acts of God, telecommunications failures, cyberattacks, government action, or disruptions to third-party infrastructure providers such as MongoDB Atlas or Payfast.

In the event of prolonged service unavailability caused by our own infrastructure failures lasting more than 72 continuous hours, we will assess and, at our discretion, apply a pro-rata service credit to affected accounts.

Limitation of Liability

To the maximum extent permitted by applicable South African law, including the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002:

  • No Indirect Damages. AdmicoHub and its directors, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunity, loss of data, or loss of goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
  • Cap on Liability. Our total aggregate liability to you for any claims arising under or in connection with these Terms or the Service shall not exceed the total subscription fees paid by you to us during the three (3) calendar months immediately preceding the event giving rise to the claim.
  • No Tax or Legal Advice. The Service provides automated tax calculations and compliance tools for convenience purposes only. Nothing in the Service constitutes registered tax practitioner, accounting, or legal advice. You remain solely responsible for the accuracy of your SARS submissions and compliance with all applicable legislation. We recommend you engage a registered Tax Practitioner for formal advice.

Nothing in this section limits our liability for fraud, gross negligence, wilful misconduct, or any liability that cannot lawfully be excluded under South African law.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes and claims) shall be governed by and construed in accordance with the laws of the Republic of South Africa.

The parties consent and submit to the exclusive jurisdiction of the Western Cape Division of the High Court of South Africa (Cape Town) for the resolution of any disputes arising from or in connection with these Terms or the use of the Service, without prejudice to the right of either party to approach a Magistrate's Court of competent jurisdiction for relief.

Any dispute that cannot be resolved through good-faith negotiation within 20 (twenty) business days of written notice of the dispute may be referred by either party to mediation before a mediator agreed upon by both parties, or, failing agreement on a mediator within 10 (ten) business days, appointed by the Arbitration Foundation of Southern Africa (AFSA).
